12. Non-Disclosure Agreement (NDA) and Confidentiality - Contractual Clients

The following terms regarding confidentiality and Non-Disclosure Agreements (NDAs) apply specifically to clients who have entered into a formal, written contract with BVRSDN for advertising, marketing, or public relations services:

12.1 Definition of Confidential Information (Contractual Clients)

For the purposes of a formal service agreement with BVRSDN, "Confidential Information" shall mean any non-public, proprietary, or confidential information disclosed by one party (the "Disclosing Party") to the other party (the "Receiving Party"), either directly or indirectly, in writing, orally, or by inspection of tangible objects. Confidential Information may include, but is not limited to, business plans, marketing strategies, customer lists, financial information, pricing, product development plans, creative concepts specifically developed under the contract, unpublished materials directly related to the contracted services, and any other information that a reasonable person would understand to be confidential given the nature of the information and the circumstances of its disclosure within the context of the agency-client relationship.

Information shall not be considered Confidential Information if it (a) is or becomes publicly known through no fault of the Receiving Party; (b) was rightfully known to the Receiving Party prior to its disclosure by the Disclosing Party; (c) is rightfully received by the Receiving Party from a third party without any obligation of confidentiality; or (d) is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information.

12.2 Obligation of Confidentiality (Contractual Clients)

The Receiving Party agrees to protect the Confidential Information of the Disclosing Party with the same degree of care that it uses to protect its own confidential information of like nature, but in no event less than a reasonable degree of care. The Receiving Party shall:

  • Not disclose any Confidential Information of the Disclosing Party to any third party without the Disclosing Party's prior written consent, except to its employees, contractors, and advisors who have a need to know the information for the purpose of performing services under the contract and who are bound by confidentiality obligations at least as protective as those contained herein.
  • Use the Confidential Information of the Disclosing Party solely for the purpose of performing its obligations or exercising its rights under the contract.
  • Restrict access to the Confidential Information of the Disclosing Party to only those of its personnel who have a need to know such information and who have been advised of and agree to maintain the confidentiality of such information.
  • Not copy, reproduce, or otherwise duplicate the Confidential Information of the Disclosing Party, except as strictly necessary for the purpose of the contracted engagement. All permitted copies shall remain the property of the Disclosing Party and shall contain all proprietary notices contained in the original.

12.3 Non-Disclosure Agreements (Contractual Clients)

For engagements involving the exchange of sensitive Confidential Information under a formal service contract, BVRSDN may require or you may request the execution of a separate, written Non-Disclosure Agreement (NDA). In such cases, the terms of the separate NDA shall govern the treatment of Confidential Information and shall take precedence over this Section 13 to the extent of any conflict. Both parties agree to negotiate in good faith the terms of any such required or requested NDA.

12.4 Permitted Disclosure (Contractual Clients)

Notwithstanding the foregoing, the Receiving Party may disclose Confidential Information of the Disclosing Party if required to do so by law, regulation, or a valid order of a court or other governmental body of competent jurisdiction, provided that the Receiving Party provides the Disclosing Party with prompt prior written notice of such requirement (to the extent legally permitted) and takes reasonable steps to limit the scope of such disclosure and to obtain protective treatment of the disclosed Confidential Information.

12.5 Return or Destruction of Confidential Information (Contractual Clients)

Upon the Disclosing Party's written request or upon the termination of the service contract, the Receiving Party shall promptly return or destroy (at the Disclosing Party's option) all tangible embodiments of the Disclosing Party's Confidential Information in its possession or control, including all copies thereof, and shall certify in writing to the Disclosing Party that such return or destruction has been completed.

12.6 Survival (Contractual Clients)

The obligations of confidentiality under this Section 12 shall survive the termination of the service contract or your engagement with BVRSDN as an agency for a period of [Insert Duration, e.g., three (3) years], or as otherwise specified in a separate written NDA.
